It is important for any new or existing business to understand how to best protect themselves, which often begins with forming an entity to shield oneself from personal liability. However, there are many considerations that go into selecting the entity type, as well as how to properly structure it once that type is selected. Additionally, there are many other business considerations that influence the type of entity and entity structure. This presentation highlights common pitfalls regarding entity type and structure, and it provides insights on issues to flag for legal counsel, including differences and qualifications in tax elections (disregarded, C-Corp, S-Corp, partnership) and their applicability to each formation type.
